NYSERDA Assignment of ZECs. NYSERDA shall be free to sell, assign or transfer to any entity, or otherwise encumber, any of the ZECs NYSERDA has acquired under this Agreement, at any time and from time to time, and on such terms and conditions as NYSERDA may desire; provided, however, NYSERDA’s actions must at all times be in accordance with the CES Order.
