Common use of Obligation of Buyer and Parent to Indemnify Clause in Contracts

Obligation of Buyer and Parent to Indemnify. Buyer and Parent jointly and severally agree to indemnify, defend and hold harmless the Company and each Shareholder (and their respective directors, officers, employees, Affiliates, successors, heirs and assigns) from and against any Losses suffered or incurred by the Company or any Shareholder or any of the foregoing persons arising out of any breach of the representations and warranties of Buyer or Parent, or of the covenants and agreements of Buyer or Parent contained in this Agreement or in the Schedules or any other Transaction Document.
