Common use of Obligation of Purchaser to Indemnify Clause in Contracts

Obligation of Purchaser to Indemnify. Subject to the limitations set forth in Section 7.5, the Purchaser hereby agrees, to indemnify, defend and hold harmless the Seller from and against any Losses suffered by the Seller by reason of any breach of the representations and warranties of the Purchaser or of the covenants and agreements of the Purchaser contained in this Agreement, the Schedules attached hereto or any other Transaction Document.

Subject From and after the date hereof, subject to the applicable limitations set forth contained in Section 7.5Article VIII, the Purchaser hereby agrees, agrees to indemnify, defend and hold harmless the Seller Sellers from and against all Losses based upon, arising out of or in connection with otherwise in respect of any Losses suffered by the Seller by reason of inaccuracy in or any breach of the representations and warranties any representation, warranty, covenant or agreement of the Purchaser or of the covenants and agreements of the Purchaser contained in this Agreement or in any certificate, instrument, writing, document or schedule delivered pursuant to this Agreement, the Schedules attached hereto or any other Transaction Document.
