Common use of Obligation of Purchaser to Indemnify Clause in Contracts

Obligation of Purchaser to Indemnify. Purchaser hereby agrees to indemnify, defend and hold the Sellers and their successors, assigns and Representatives harmless from and against any Losses suffered by Sellers by reason of any breach of the representations and warranties of Purchaser or of the covenants and agreements of Purchaser contained in this Agreement, the Schedules or the Transaction Documents.

Obligation of Purchaser to Indemnify. Purchaser hereby agrees to will indemnify, defend and hold the Sellers and their successors, assigns and Representatives harmless Seller from and against all Losses based upon, arising out of or otherwise in respect of (i) any Losses suffered by Sellers by reason of inaccuracy in or any breach of the representations and warranties of Purchaser any representation, warranty, covenant or of the covenants and agreements agreement of Purchaser contained in this Agreement or in any Schedules and Exhibits delivered pursuant to this Agreement, the Schedules or the Transaction Documentsand (ii) all Assumed Liabilities.

Obligation of Purchaser to Indemnify. Purchaser hereby agrees to indemnify, defend and hold harmless each of the Sellers Shareholders (and their respective directors, officers, employees, Affiliates, successors, heirs, assigns and Representatives harmless Representatives) from and against any Losses suffered by Sellers by reason the Shareholders or any of the foregoing arising out of any breach of the representations and warranties of Purchaser or of the covenants and agreements of Purchaser contained in this Agreement, Agreement or in the Schedules or the any Transaction Documents.
