OBLIGATION OF THE MEMBERS. The Parties shall, individually and collectively, conduct their operations under this Agreement in compliance with all applicable laws and regulations; provided that nothing herein shall restrict the right of the Parties to reach agreement as to specific business activities that would otherwise not be prohibited under applicable law.
