Common use of OBLIGATION OF THE OPERATOR Clause in Contracts

OBLIGATION OF THE OPERATOR. (i) The Operator shall, at its own costs and expenses, receive the Subscribed Channels from designated satellites and retransmit the Subscribed Channels to the Subscribers (through the Operator‟s own Cable Network and the Affiliated Cable Operators). (ii) The Operator shall raise monthly invoices on the Subscribers for the channels (from amongst the Subscribed Channels) subscribed by the Subscribers and the Operator shall collect such invoiced monthly fees from the Subscribers. (iii) Irrespective of the Operator‟s collection of the invoiced monthly amounts from the Subscribers, the Operator shall pay the Monthly License Fees to SDSPL, in a timely manner. (iv) The Operator shall ensure retransmission of high quality encrypted signal of the Subscribed Channels to the Subscribers. (v) The Operator shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its digital Addressable System and shall regularly provide to SDSPL with updated piracy reports. (vi) The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis.

(iii) Irrespective of the Operator‟s collection of the invoiced monthly amounts from the Subscribers, ,the Operator shall pay the Monthly License Fees to SDSPLKMSPL, in a timely manner. (iv) The Operator shall ensure retransmission of high quality encrypted signal of the Subscribed Channels to the Subscribers. (v) The Operator shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its digital itsdigital Addressable System and shall regularly provide to SDSPL with KMSPLwith updated piracy reports. (vi) The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis.

(vi) The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis.

OBLIGATION OF THE OPERATOR. (i) The Operator shall, at its own costs and expenses, receive the Subscribed Channels from designated satellites and retransmit the Subscribed Channels to the Subscribers (through the Operator‟s own Cable Network and the Affiliated Cable Operators)Operator’s Addressable System. (ii) The Operator shall raise monthly invoices on retransmit signals of the Subscribed Channels to the Subscribers in the Area only through the Operator’s Addressable System. The Operator shall be responsible, at its sole cost and expense, for obtaining all licenses and permits necessary for the channels (from amongst the Subscribed Channels) subscribed by the Subscribers and the Operator shall collect such invoiced monthly fees from the Subscribersforegoing. (iii) Irrespective of the Operator‟s collection of the invoiced monthly amounts The Operator shall collect fees from the Subscribers, the Operator shall either directly or through its Local Cable Operators, and pay the Monthly License Subscription Fees to SDSPLXXXXX SATCOM LTD CHENNAI, in a timely manner. (iv) The Operator shall ensure retransmission of high quality encrypted Encrypted signal of the Subscribed Channels to the SubscribersSubscribers in the Area. (v) The Operator shall furnish updated list of Local Cable Operators along with their Subscriber Base to XXXXX SATCOM LTD CHENNAI on a monthly basis in terms of Clause 12 of the Telecommunication (Broadcasting and Cable Services) Interconnection Regulation, 2004 (as mended from time to time). (vi) The Operator shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its digital Addressable System in the Area and shall regularly provide to SDSPL XXXXX SATCOM LTD CHENNAI with updated piracy reports. (vi) The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis.

The Operator shall raise monthly invoices on the Subscribers for towards subscription of the channels (from amongst the Subscribed Channels) subscribed by the Subscribers and the Operator shall collect such invoiced monthly fees from the Subscribers. (iii) III. Irrespective of the Operator‟s Operator’s collection of the invoiced monthly amounts from the Subscribers, the Operator shall pay the Monthly License Fees to SDSPLthe Broadcaster, in a timely manner. (iv) IV. The Operator shall ensure retransmission of high quality encrypted signal of the Subscribed Channels to the Subscribers. (v) V. The Operator shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its digital Digital Addressable System and shall regularly provide to SDSPL the Broadcaster with updated piracy reports. (vi) VI. The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis. VII. The MSO/operator shall not insert any advertisements for communications/dissemination along with the programmes of ETV nor shall allow/permit the Cable operators/LMOs to insert advertisements.

(iii) Irrespective of the Operator‟s Operator’s collection of the invoiced monthly amounts from the Subscribers, the Operator shall pay the Monthly License Fees to SDSPLthe Broadcaster, in a timely manner. (iv) The Operator shall ensure retransmission of high quality encrypted signal of the Subscribed Channels to the Subscribers. (v) The Operator shall take all necessary action to prevent unauthorized access of the Subscribed Channels through its digital the Operator’s Digital Addressable System and shall regularly provide to SDSPL the Broadcaster with updated piracy reports. (vi) The Operator shall ensure that no Subscribed Channel shall be disadvantaged or otherwise treated less favorably by Operator with respect to competing channels on a genre basis.
