Obligation to Mitigate Fees. Each Party shall use commercially reasonable efforts to minimize and mitigate all relicensing, transfer, third party administrator/agency and termination fees associated with the Contracts. The Parties agree that, where such fees are likely to exist, the Parties shall work together to agree upon alternative actions and/or solutions that will incur lesser or no such fees while, at the same time, achieving the same allocation of ongoing financial, operational and managerial responsibility with respect to such Contracts.
