Common use of Obligation to Purchase Warrant Shares Clause in Contracts

Obligation to Purchase Warrant Shares. The Company shall be obligated, subject to Section 11.5 hereof, to purchase all of such Holder's or Holders' Warrants and/or Warrant Shares which are the subject of such Put Notice, and shall pay the Put Option Purchase Price with respect to the exercise of the put option which is the subject of each such Put Notice payable to such Holder or Holders in cash, on the Put Repurchase Date with respect to such Put Notice, against delivery by such Holder or Holders of any and all certificates or other instruments evidencing the Warrants and/or Warrant Shares which are the subject of such Put Notice, together with appropriate stock powers or other instruments of transfer or assignment duly endorsed in blank.

The Company shall be obligated, subject to Section 11.5 subsection (e) hereof, to purchase all of such Holder's or Holders' Warrants and/or Warrant Shares which are the subject of such Put Notice, and shall pay the Put Option Purchase Price with respect to the exercise of the put option which is the subject of each such Put Notice payable to such Holder or Holders in cashimmediately available funds, on the Put Repurchase Date with respect to such Put Notice, against delivery by such Holder or Holders of any and all certificates or other instruments evidencing the Warrants and/or Warrant Shares which are the subject of such Put Notice, together with appropriate stock powers or other instruments of transfer or assignment duly endorsed in blank.

The Company shall be obligated, subject to Section 11.5 1.6 hereof, to purchase all of such Holderholder's or Holdersholders' Warrants and/or Warrant Shares which are the subject of such Put Notice, and shall pay the Put Option Purchase Price with respect to the exercise of the put option which is the subject of each such Put Notice payable to such Holder holder or Holders holders in cashimmediately available funds, on the Put Repurchase Date with respect to such Put Notice, against delivery by such Holder holder or Holders holders of any and all certificates or other instruments evidencing the Warrants and/or Warrant Shares which are the subject of such Put Notice, together with appropriate stock powers or other instruments of transfer or assignment duly endorsed in blank.
