Common use of Obligations Continuing Clause in Contracts

Obligations Continuing. The Obligations of each Parent Guarantor under its Parent Guaranty shall be continuing and shall remain in full force and effect until all the Obligations hereunder have been paid and satisfied in full. Each Parent Guarantor hereby agrees with the Trustee that it will from time to time deliver to the Trustee suitable acknowledgments of this continued liability hereunder and under any other instrument or instruments in such form as counsel to the Trustee may advise and as will prevent any action brought against it in respect of any default hereunder being barred by any statute of limitations now or hereafter in force and, in the event of the failure of a Parent Guarantor so to do, it shall irrevocably appoint the Trustee, the attorney and agent of such Parent Guarantor to make, execute and deliver such written acknowledgment or acknowledgments or other instruments as may from time to time become necessary or advisable, in the judgment of the Trustee on the advice of counsel, to fully maintain and keep in force the liability of such Parent Guarantor under its Parent Guaranty. Each Parent Guarantor hereby waives the pleading of any statute of limitations as a defense to Obligations hereunder.

Obligations Continuing. The Obligations Subject to the provisions of each Parent Section 10.03, the obligations of the Escrow Guarantor under its Parent Guaranty hereunder shall be continuing and shall remain in full force and effect until all the Guaranteed Obligations hereunder have been paid and satisfied in full. Each Parent The Escrow Guarantor hereby agrees with the Trustee that it will from time to time deliver to the Trustee suitable acknowledgments of this continued liability hereunder and under any other instrument or instruments in such form as counsel to the Trustee may advise and as will prevent any action brought against it in respect of any default hereunder being barred by any statute of limitations now or hereafter in force in the jurisdiction of incorporation or organization of the Escrow Guarantor or elsewhere and, in the event of the failure of a Parent the Escrow Guarantor so to do, it shall hereby irrevocably appoint appoints the Trustee, Trustee and the attorney attorneys and agent agents of such Parent the Escrow Guarantor to make, execute and deliver such written acknowledgment or acknowledgments or other instruments as may from time to time become necessary or advisable, in the judgment of the Trustee on the advice of counsel, to fully maintain and keep in force the liability of such Parent the Escrow Guarantor under its Parent Guaranty. Each Parent Guarantor hereby waives the pleading of any statute of limitations as a defense to Obligations hereunder.

Obligations Continuing. The Obligations Except as otherwise provided in this Indenture, the obligations of each Parent Guarantor under its Parent Guaranty and the U.S. Issuer hereunder shall be continuing and shall remain in full force and effect until all the Obligations hereunder obligations have been paid and satisfied in full. Each Parent Guarantor hereby and the U.S. Issuer agrees with the Trustee that that, if requested, it will from time to time deliver to the Trustee suitable acknowledgments of this continued liability hereunder and under any other instrument or instruments in such form as counsel to the Trustee may advise and as will prevent any action brought against it in respect of any default hereunder being barred by any statute of limitations now or hereafter in force and, in the event of the failure of a Parent Guarantor or the U.S. Issuer so to do, it shall hereby irrevocably appoint appoints the Trustee, Trustee the attorney and agent of such Parent Guarantor or the U.S. Issuer to make, execute and deliver such written acknowledgment or acknowledgments or other instruments as may from time to time become necessary or advisable, in the judgment of the Trustee on the advice of counsel, to fully maintain and keep in force the liability of such Parent Guarantor under its Parent Guaranty. Each Parent Guarantor hereby waives or the pleading of any statute of limitations as a defense to Obligations U.S. Issuer hereunder.

Obligations Continuing. The Obligations Subject to Section 11.04 hereof, the obligations of each Parent Guarantor under its Parent Guaranty hereunder shall be continuing and shall remain in full force and effect until all the Obligations hereunder have been paid and satisfied in full. Each Parent Guarantor hereby agrees Guarantor, by its execution of a Guarantee, will agree with the Trustee that that, upon the Trustee's reasonable request, it will from time to time deliver to the Trustee suitable acknowledgments of this continued liability hereunder and under any other instrument or instruments in such form as counsel to the Trustee (acting reasonably) may advise and as will prevent any action brought against it in respect of any default hereunder being barred by any statute of limitations now or hereafter in force and, in the event of the failure of a Parent Guarantor so to do, it shall it, by its execution of a Guarantee, will irrevocably appoint the Trustee, Trustee the attorney and agent of such Parent Guarantor to make, execute and deliver such written acknowledgment or acknowledgments or other instruments as may from time to time become necessary or reasonably advisable, in the reasonable judgment of the Trustee on the advice of counsel, to fully maintain and keep in force the liability of such Parent Guarantor hereunder and under its Parent Guaranty. Each Parent Guarantor hereby waives the pleading of any statute of limitations as a defense to Obligations hereunderGuarantee.

Each Parent The Subsidiary Guarantor hereby agrees with the Trustee that it will from time to time deliver to the Trustee suitable acknowledgments of this continued liability hereunder and under any other instrument or instruments in such form as counsel to the Trustee may advise and as will prevent any action brought against it in respect of any default hereunder being barred by any statute of limitations now or hereafter in force in the jurisdiction of incorporation or organization of such Subsidiary Guarantor or elsewhere and, in the event of the failure of a Parent the Subsidiary Guarantor so to do, it shall hereby irrevocably appoint appoints the Trustee, Trustee and each of them the attorney attorneys and agent agents of such Parent the Subsidiary Guarantor to make, execute and deliver such written acknowledgment or acknowledgments or other instruments as may from time to time become necessary or advisable, in the judgment of the Trustee on the advice of counsel, to fully maintain and keep in force the liability of such Parent the Subsidiary Guarantor under its Parent Guaranty. Each Parent Guarantor hereby waives the pleading of any statute of limitations as a defense to Obligations hereunder.
