Common use of Obligations of a party Clause in Contracts

Obligations of a party. If a party is unable to perform its obligations due to Force Majeure it will: (a) as soon as possible after being affected, give to the other party full particulars of the Force Majeure and the manner in which its performance is thereby prevented or delayed; and (b) promptly and diligently take all reasonable and appropriate action to enable it to perform the obligations prevented or delayed by Force Majeure, except that the other party is not obliged to settle a strike, lockout or other industrial dispute.

If a party is unable to perform prevented from or delayed in performing its obligations due to an event of Force Majeure Majeure, it willmust promptly and diligently take all reasonable endeavours to: (a) as soon as possible after being affected, give to remedy or overcome the other party full particulars effect of the Force Majeure and the manner in which affecting its performance obligations under this Agreement, provided that such affected party is thereby prevented not obliged to settle any strike, lockout or delayedother labour dispute; and (b) promptly and diligently take all reasonable and appropriate action attempt to enable it to perform mitigate the obligations prevented or delayed by effect of the Force Majeure, except that the other party is not obliged to settle a strike, lockout or other industrial dispute.
