Obligations of Company and Stockholders. Subject to Section 7.8 hereof, the Company will take all action reasonably necessary to cause the Company to perform its obligations under this Agreement and all related agreements and to consummate the Merger and other transactions contemplated hereby and thereby on the terms and conditions set forth in this Agreement and such agreements; provided, however, that this covenant shall not require the Company to make any expenditures that are not expressly set forth in this Agreement or otherwise contemplated herein.
