Common use of Obligations of Management Clause in Contracts

Obligations of Management. Each of the key employees identified in Schedule D attached hereto (the “Key Employees”) is currently devoting his or her full working time to the conduct of the Business of a Group Company or the Group Companies. No Seller Party is aware that any Key Employee is planning to work less than full time at a Group Company in the future. None of the Founders, nor, to the Seller Parties’ knowledge, none of such Key Employees is currently working for a competitive enterprise, whether or not such Person is or will be compensated by such enterprise.
