Obligations of Members to Each Other. As between the Members, and not for the benefit of any third Person, each such Member shall be accountable to the other Members for the acts and omissions of such Member, but only to the extent that such acts or omissions constitute gross negligence, fraud or breach of any fiduciary obligation that the Member owes to the other Members as provided under L.R.S.A. §12:1314. Each Member hereby agrees to indemnify and hold harmless each other Member from and against all claims, losses, damages, costs, obligations and expenses (including, without limitation, reasonable attorneys' fees) of whatever nature arising from any act or omission of such Member constituting gross negligence, fraud or breach of a fiduciary obligation.
