Common use of Obligations of the CRA Clause in Contracts

Obligations of the CRA. a. The CRA shall appropriate an amount not to exceed the total sum of $98,000.00 from the High Wage/High Value Job Creation Program for FY’s 2016-2017 through 2021-2022. The CRA shall make six (6) annual payments (“Program Payments”) beginning in FY 2016-2017, in accordance with the schedule in Exhibit “B”, based on the actual number of jobs created as shown in the Annual Report described in section 8 herein, provided SightPlan meets its obligations as set forth in section 5. b. The CRA’s obligations to make the Program Payments shall arise only upon receipt of the following: i. SightPlan’s written request for a Program Payment for the applicable calendar year by March 1 of the following calendar year; and ii. SightPlan’s provision to the CRA of all documents, statements, including the Annual Report, and other evidence of completion of the requirements contained in this Agreement and the applicable Program Incentive(s), as described in Exhibit “A”, which is incorporated herein by reference; and iii. SightPlan’s being qualified by the State of Florida as a QTI Program participant. c. Provided the CRA has determined that SightPlan has complied with the requirements of this Agreement and the applicable Program Incentive(s), the CRA shall make the appropriate Program Payment within 90 days of receipt of a written request for a Program Payment from SightPlan. d. SightPlan expressly understands that the CRA will not accrue obligations for Program Payments for calendar years in which SightPlan fails to provide a written request for payment by March 1 of the following calendar year. e. Program Payments shall be made in conjunction with the Qualified Target Industry payments.

Obligations of the CRA. a. The CRA shall appropriate an amount not to exceed the total sum of $98,000.00 32,000.00 from the High Wage/High Value Job Creation Program for FY’s 20162018-2017 2019 through 20212023-20222024. The CRA shall make six (6) annual payments (“Program Payments”) beginning in FY 2016-2017Fiscal Year (FY) 2018- 2019, in accordance with the schedule in Exhibit “B”, based on the actual number of jobs created as shown in the Annual Report described in section 8 herein, provided SightPlan Topps meets its obligations as set forth in section 5. b. The CRA’s obligations to make the Program Payments shall arise only upon receipt of the following: i. SightPlanTopps’s written request for a Program Payment for the applicable calendar year by March 1 of the following calendar year; and ii. SightPlanTopps’s provision to the CRA of all documents, statements, including the Annual Report, and other evidence of completion of the requirements contained in this Agreement and the applicable Program Incentive(s), as described in Exhibit “A”, which is incorporated herein by reference; and iii. SightPlan’s being qualified by the State of Florida as a QTI Program participant. c. Provided the CRA has determined that SightPlan Topps has complied with the requirements of this Agreement and the applicable Program Incentive(s), the CRA shall make the appropriate Program Payment within 90 days of receipt of a written request for a Program Payment from SightPlanPayment. d. SightPlan Topps expressly understands that the CRA will not accrue obligations for Program Payments for calendar years in which SightPlan Topps fails to provide a written request for payment by March 1 of the following calendar year. e. Program Payments shall be made in conjunction with the Qualified Target Industry payments.

The CRA shall appropriate an amount not to exceed the total sum of $98,000.00 105,000.00 from the High Wage/High Value Job Creation Program for FY’s 20162017-2017 2018 through 20212022-20222023. The CRA shall make six (6) annual payments (“Program Payments”) beginning in FY 20162017-20172018, in accordance with the schedule in Exhibit “B”, based on the actual number of jobs created as shown in the Annual Report described in section 8 herein, provided SightPlan Orion meets its obligations as set forth in section 5. b. The CRA’s obligations to make the Program Payments shall arise only upon receipt of the following: i. SightPlanOrion’s written request for a Program Payment for the applicable calendar year by March 1 of the following calendar year; and ii. SightPlanOrion’s provision to the CRA of all documents, statements, including the Annual Report, and other evidence of completion of the requirements contained in this Agreement and the applicable Program Incentive(s), as described in Exhibit “A”, which is incorporated herein by reference; and iii. SightPlanOrion’s being qualified by the State of Florida as a QTI Program participant. c. Provided the CRA has determined that SightPlan Orion has complied with the requirements of this Agreement and the applicable Program Incentive(s), the CRA shall make the appropriate Program Payment within 90 days of receipt of a written request for a Program Payment from SightPlanOrion. d. SightPlan Orion expressly understands that the CRA will not accrue obligations for Program Payments for calendar years in which SightPlan Orion fails to provide a written request for payment by March 1 of the following calendar year. e. Program Payments shall be made in conjunction with the Qualified Target Industry payments.

The CRA shall make six (6) annual payments (“Program Payments”) beginning in FY 2016-2017Fiscal Year (FY) 2017- 2018, in accordance with the schedule in Exhibit “B”, based on the actual number of jobs created as shown in the Annual Report described in section 8 herein, provided SightPlan Arrow Sky meets its obligations as set forth in section 5. b. The CRA’s obligations to make the Program Payments shall arise only upon receipt of the following: i. SightPlanArrow Sky’s written request for a Program Payment for the applicable calendar year by March 1 of the following calendar year; and ii. SightPlanArrow Sky’s provision to the CRA of all documents, statements, including the Annual Report, and other evidence of completion of the requirements contained in this Agreement and the applicable Program Incentive(s), as described in Exhibit “A”, which is incorporated herein by reference; and iii. SightPlan’s being qualified by the State of Florida as a QTI Program participant.in c. Provided the CRA has determined that SightPlan Arrow Sky has complied with the requirements of this Agreement and the applicable Program Incentive(s), the CRA shall make the appropriate Program Payment within 90 days of receipt of a written request for a Program Payment from SightPlanPayment. d. SightPlan Arrow Sky expressly understands that the CRA will not accrue obligations for Program Payments for calendar years in which SightPlan Arrow Sky fails to provide a written request for payment by March 1 of the following calendar year. e. Program Payments shall be made in conjunction with the Qualified Target Industry payments.

The CRA shall make six (6) annual payments (“Program Payments”) beginning in FY 20162017-20172018, in accordance with the schedule in Exhibit “B”, based on the actual number of jobs created as shown in the Annual Report described in section 8 herein, provided SightPlan LFS meets its obligations as set forth in section 5. b. The CRA’s obligations to make the Program Payments shall arise only upon receipt of the following: i. SightPlanLFS’s written request for a Program Payment for the applicable calendar year by March 1 of the following calendar year; and ii. SightPlanLFS’s provision to the CRA of all documents, statements, including the Annual Report, and other evidence of completion of the requirements contained in this Agreement and the applicable Program Incentive(s), as described in Exhibit “A”, which is incorporated herein by reference; and iii. SightPlanLFS’s being qualified by the State of Florida as a QTI Program participant. c. Provided the CRA has determined that SightPlan LFS has complied with the requirements of this Agreement and the applicable Program Incentive(s), the CRA shall make the appropriate Program Payment within 90 days of receipt of a written request for a Program Payment from SightPlanLFS. d. SightPlan LFS expressly understands that the CRA will not accrue obligations for Program Payments for calendar years in which SightPlan LFS fails to provide a written request for payment by March 1 of the following calendar year. e. Program Payments shall be made in conjunction with the Qualified Target Industry payments.
