OBLIGATIONS REGARDING CERTAIN AGREEMENTS. API will not, nor will it permit or cause any member of the API Group to, take or refrain from taking any action that would cause TDS or any of its Subsidiaries or Affiliates to breach, violate or be in default under any of the terms of any agreement or other instrument or obligation to which TDS or any of its Subsidiaries or Affiliates is a party or by which it or any of them or any of its or their properties or assets may be bound and of which API is given notice at any time. Schedule II lists those agreements of which API has been given notice as of the date of this Agreement.
