Common use of Obligations Secured Hereby Clause in Contracts

Obligations Secured Hereby. The agreements contained in this Article IV are made to provide for and secure repayment of the following indebtedness and liabilities of the Company (such indebtedness and liabilities being herein called the "Obligations") in the order of priority indicated: First, (i) the repayment of all amounts, if any, advanced or expended by the Collateral Agent, in its capacity as Collateral Agent, for the account of the Company hereunder, (ii) the payment of all reasonable costs and expenses at any time and from time to time incurred by the Collateral Agent, in its capacity as Collateral Agent, in connection with the administration or enforcement of this Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by the Collateral Agent in connection therewith) and (iii) the payment of all indemnities at any time and from time to time payable hereunder to the Collateral Agent, by the Company, and Second, (i) the repayment of all amounts advanced or paid by Financial Security under the Policies pursuant to this Agreement and (ii) the payment of any accrued but unpaid installments of the Premium and all costs and expenses at any time and from time to time incurred by Financial Security in connection with the administration or enforcement of this Agreement or any other Transaction Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by Financial Security in connection therewith) and under or in connection with this Agreement and the Policies.

The agreements contained in this Article IV are made to provide for and secure repayment of the following indebtedness and liabilities of the Company WFSRC (such indebtedness and liabilities being herein called the "Obligations") in the order of priority indicated: : First, (i) the repayment of all amounts, if any, advanced or expended by the Collateral Agent, in its capacity as Collateral Agent, for the account of the Company WFSRC hereunder, (ii) the payment of all reasonable costs and expenses at any time and from time to time incurred by the Collateral Agent, in its capacity as Collateral Agent, in connection with the administration or enforcement of this Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by the Collateral Agent in connection therewith) and (iii) the payment of all indemnities at any time and from time to time payable hereunder to the Collateral Agent, by the CompanyWFSRC, and Second, (i) the repayment of all amounts advanced or paid by Financial Security under the Policies Policy pursuant to this Agreement and (ii) the payment of any accrued but unpaid installments of the Premium and all costs and expenses at any time and from time to time incurred by Financial Security in connection with the administration or enforcement of this Agreement or any other Transaction Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by Financial Security in connection therewith) and under or in connection with this Agreement and the PoliciesPolicy.

The agreements contained in this Article IV are made to provide for and secure repayment of the following indebtedness and liabilities of the Company Seller (such indebtedness and liabilities being herein called the "Obligations") in the order of priority indicated: : First, (i) the repayment of all amounts, if any, advanced or expended by the Collateral Agent, in its capacity as Collateral Agent, for the account of the Company Seller hereunder, (ii) the payment of all reasonable costs and expenses at any time and from time to time incurred by the Collateral Agent, in its capacity as Collateral Agent, in connection with the administration or enforcement of this Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by the Collateral Agent in connection therewith) and (iii) the payment of all indemnities at any time and from time to time payable hereunder to the Collateral Agent, by the CompanySeller, and Second, and (i) the repayment of all amounts advanced or paid by Financial Security under the Policies Policy pursuant to this Agreement and (ii) the payment of any accrued but unpaid installments of the Premium and all costs and expenses at any time and from time to time incurred by Financial Security in connection with the administration or enforcement of this Agreement or any other Transaction Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by Financial Security in connection therewith) and under or in connection with this Agreement and the PoliciesPolicy.

The agreements contained in this Article IV are made to provide for and secure repayment of the following indebtedness and liabilities of the Company WFSRC2 (such indebtedness and liabilities being herein called the "Obligations") in the order of priority indicated: : First, (i) the repayment of all amounts, if any, advanced or expended by the Collateral Agent, in its capacity as Collateral Agent, for the account of the Company WFSRC2 hereunder, (ii) the payment of all reasonable costs and expenses at any time and from time to time incurred by the Collateral Agent, in its capacity as Collateral Agent, in connection with the administration or enforcement of this Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by the Collateral Agent in connection therewith) and (iii) the payment of all indemnities at any time and from time to time payable hereunder to the Collateral Agent, by the CompanyWFSRC2, and Second, and (i) the repayment of all amounts advanced or paid by Financial Security under the Policies Policy pursuant to this Agreement and (ii) the payment of any accrued but unpaid installments of the Premium and all costs and expenses at any time and from time to time incurred by Financial Security in connection with the administration or enforcement of this Agreement or any other Transaction Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by Financial Security in connection therewith) and under or in connection with this Agreement and the PoliciesPolicy.

The agreements contained in this Article IV are made to provide for and secure repayment of the following indebtedness and liabilities of the Company WFAL and WFSRC (such indebtedness and liabilities being herein called the "Obligations") in the order of priority indicated: : First, (i) the repayment of all amounts, if any, advanced or expended by the Collateral Agent, in its capacity as Collateral Agent, for the account of the Company WFAL and WFSRC hereunder, (ii) the payment of all reasonable costs and expenses at any time and from time to time incurred by the Collateral Agent, in its capacity as Collateral Agent, in connection with the administration or enforcement of this Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by the Collateral Agent in connection therewith) and (iii) the payment of all indemnities at any time and from time to time payable hereunder to the Collateral Agent, by the CompanyWFAL and WFSRC, and Second, (i) the repayment of all amounts advanced or paid by Financial Security under the Policies Policy pursuant to this Agreement and (ii) the payment of any accrued but unpaid installments of the Premium and all costs and expenses at any time and from time to time incurred by Financial Security in connection with the administration or enforcement of this Agreement or any other Transaction Agreement or any related document (including, without limitation, the fees and out-of-pocket expenses of counsel employed by Financial Security in connection therewith) and under or in connection with this Agreement and the PoliciesPolicy.
