Common use of Observance of Agreements Clause in Contracts

Observance of Agreements. Duly observe and perform all material terms and conditions of all material agreements with respect to the production, distribution and/or exploitation of items of Product and diligently protect and enforce the rights of the Credit Parties under all such agreements in a manner consistent with prudent business judgment and subject to the terms and conditions of such agreements.

Observance of Agreements. Duly observe and perform in all material respects all the terms and conditions of all material agreements with respect to the production, distribution and/or exploitation of items of Product and diligently protect and enforce the rights of the Credit Parties Party under all such agreements in a manner consistent with prudent business judgment and subject to the terms and conditions of such agreements.

Observance of Agreements. (a) Duly observe and perform all material terms and conditions of all any agreement relating to any Real Property Asset, any Management Agreement or any other agreement which is material agreements with respect to the production, distribution and/or exploitation of items of Product Credit Parties taken as a whole and diligently protect and enforce the rights of the Credit Parties and their Subsidiaries under all such agreements in a manner consistent with prudent business judgment and subject to the terms and conditions of such agreements.

Duly observe and perform all material terms and conditions of each Production Services Agreement, all material Distribution Agreements and all other material agreements with respect to which it is a party relating to the production, distribution and/or acquisition, development and exploitation of items of Product each Picture and diligently protect and enforce (or cause to be protected and enforced) the material rights of the Credit Parties under all such agreements in a manner consistent with prudent business judgment and subject to the terms and conditions of such agreementsagreements as from time to time in effect.

Duly observe and perform all material terms and conditions of each Distribution Agreement, Co-Financing Agreement and Co-Financing Venture Agreement, all Revenue Participation Documentation and all other material agreements with respect to which it is a party relating to the production, acquisition, distribution and/or and other exploitation of items each Item of Product and diligently protect and enforce (or cause to be protected and enforced) the rights of the Credit Parties under all such agreements in a manner consistent with prudent business judgment and subject to the terms and conditions of such agreementsjudgment.
