Obtaining of Governmental Approvals. The Company will from time to time take all action which may be necessary to obtain and keep effective any and all permits, consents and approvals of Governmental Authorities and securities acts filings under United States Federal and state laws (including, without limitation, to the extent required, the maintenance of the effectiveness of a registration statement in respect of the Common Stock under the Securities Act), which may be or become required in connection with exercise of the Warrant Certificates.

Obtaining of Governmental Approvals. The Company will from time to time take all action which may be necessary to obtain and keep effective any and all permits, consents and approvals of Governmental Authorities governmental agencies and authorities and shall make all securities acts filings under United States Federal federal and state laws (including, without limitation, to the extent required, the maintenance of the effectiveness of a registration statement in respect of the Common Stock under the Securities Act), which may be or become required requisite in connection with exercise the issuance, sale, transfer and delivery of the Warrant Certificates, the exercise of the Warrants and the issuance, sale, transfer and delivery of the Common Shares issued upon exercise of the Warrants.
