OEM Relationships. OEM may be a View and Design OEM or a Multiple Datasource OEM, as specified on the applicable Sales Order. The following provisions apply to the specific relationships:
OEM Relationships. Except as disclosed to Purchaser prior to ----------------- Closing, the Company has not received any notice, claim or assertion from or with respect to any OEM counterparty of the Company regarding intention of such OEM party to either discontinue its relationship with the Company or develop or market products in competition with the Company.
OEM Relationships. Except as may be disclosed in the SEC Reports, neither BriteSmile nor BDI has received any notice, claim or assertion from or with respect to any OEM party regarding any intention of such OEM party to either discontinue its relationship with BriteSmile or BDI or develop or market products in competition with BriteSmile or BDI.
OEM Relationships. This Agreement does not include Original Equipment Manufacturer (“OEM”) relationships unless mutually agreed upon in writing.
OEM Relationships. All Original Equipment Manufacturer (“OEM”) relationships will be negotiated on a case-by-case basis. All OEM based marketing cost, sales and distribution programs, product and service branding agreements, product configurations, service agreements, service partners, call center partners, data management, and web services shall be negotiated by and between RK and Distributor, on the one hand and the OEM on the other. Furthermore, the sharing between RK and Distributor of revenues from sales resulting from any OEM relationship established by RK shall be negotiated with Distributor on a case-by-case basis and agreement to the amount of sharing shall be a condition precedent to the closing of any such OEM relationship. In addition, all on water vessel service agreements will be negotiated between RK/Distributor on the one hand and the OEM on the other, on a case-by-case basis.
