OF THE PARENT AND BUYER. The Parent and Buyer represent and warrant to the Company and the Sole Member as set forth below, subject to the exceptions set forth in the disclosure schedules hereto (the “Buyer Disclosure Schedules”), the section numbers and letters of which correspond to the section and subsection numbers and letters of this Agreement.
