Common use of OFF-SET STATEMENT Clause in Contracts

OFF-SET STATEMENT. Tenant agrees within ten (10) days after request therefor by Landlord to execute in recordable form and deliver to Landlord a statement, in writing, certifying (a) that this Lease is in full force and effect, (b) the date of commencement of the term of this Lease, (c) that rent is paid currently without any off-set or defense thereto, (d) the amount of rent, if any, paid in advance, (e) whether the Lease has been modified and, if so, identifying the modifications, and (f) that there be no uncured defaults by Landlord or stating those claimed by Tenant, provided that, in fact, such facts are accurate an ascertainable. In the event any of the foregoing portions of the Statement not be true at the time of the request for such Statement, then Tenant shall reflect the true state of facts in such statement.
