Common use of Off-Site Waste Clause in Contracts

Off-Site Waste. If necessary, Hospira shall hire, direct and pay all costs for a waste contractor to remove all Waste from Hospira’s manufacturing facility for Product consistent with the Product’s Material Safety Data Sheets (“MSDS”). The costs associated with the removal of Specially Regulated Waste shall be borne by Kythera. Hospira shall only dispose of Specially Regulated Waste at sites and through waste management vendors that have been approved in writing by Kythera, whose approval shall not be withheld unreasonably. Hospira shall document the destruction of any Specially Regulated Waste in writing and provide copies of such written documentation to an authorized representative of Kythera. Kythera maintains the right, but not the obligation, to witness the actual disposal of Specially Regulated Waste. Kythera shall, upon request by Hospira, provide the MSDS for the API and the MSDS for the Product to Hospira.
