(v) No sale of the Debentures to any resale or one Subsequent Purchaser will be for less than U.S.$100,000 principal amount and no Note will be issued in a smaller principal amount. If the Subsequent Purchaser is a non-bank fiduciary acting on behalf of others, each person for whom it is acting must purchase at least U.S.$100,000 principal amount of the Debentures.
(vi) The transfer restrictions and the other provisions set forth in the Offering Memorandum under the heading "Notice to Investors", including the legend required thereby, shall apply to the Debentures except as otherwise agreed by the Company and the Initial Purchasers.
(vii) Each Initial Purchaser will deliver to each purchaser of any Securitythe Debentures from such Initial Purchaser, in connection with its original distribution of the Debentures, a copy of the Offering Memorandum, as amended and supplemented at the date of such delivery.
