Offer of Employment with Successor. If upon a Change of Control Xxxxx is offered employment by the Company’s successor with responsibilities substantially similar to that contemplated by this Agreement and Xxxxx does not accept such offer, 33.3% of the stock options granted to Xxxxx that are outstanding immediately prior to but are not vested as of the date of the Change of Control shall become vested as of the date of the Change of Control.
