The Acquiring Company shall have made an offer to all Target Company shareholders for the Target Common Stock held by such persons, not including persons who are not accredited investors or who are otherwise subject to sanctions imposed by the National Association of Securities Dealers, Inc., the Securities and Exchange Commission, or a state securities agency of the nature that would require disclosure an that may preclude, or make more difficult, the listing of the Acquiring Company on a stock exchange following the completion of the Transaction.
