Offeree Member Election Sample Clauses

Offeree Member Election. The Offeree Members must elect by sending written notice (the "Notice of Election") to the Offeror Member thirty days after receipt of the Offer, either: (i) to Sell their stock in the Company at the purchase price and on other terms specified in the Offer, or (ii) to offer to purchase the Offers' stock in the Company at a purchase price equal to the price and on other terms specified in the Offer.
