Offering by the Purchasers. The several Purchasers propose to offer the Purchased Notes for sale to the public as set forth in the Time of Sale Prospectus and the Prospectus.
Offering by the Purchasers. The several Purchasers propose to offer the Purchased Stock for sale to the public as set forth in the Prospectus.
Offering by the Purchasers. The Trust and each of the Shareholders, hereby confirms that it has authorized the use of the Pricing Disclosure Package and the Offering Circular in connection with the offer and sale of the Securities by the Purchasers. The several Purchasers propose to offer the Securities for sale upon the terms and conditions set forth in this Agreement and the Offering Circular and each Purchaser hereby represents and warrants to, and agrees with the Trust that:
(a) It will offer and sell the Securities only to persons who it reasonably believes are “qualified institutional buyers” (“QIBs”) within the meaning of Rule 144A under the Act in transactions meeting the requirements of Rule 144A;
(b) It is an Institutional Accredited Investor; and
(c) It will not offer or sell the Securities by any form of general solicitation or general advertising, including but not limited to the methods described in Rule 502(c) under the Act.
Offering by the Purchasers. The several Purchasers propose to offer the Purchased Debt Securities for sale to the public as set forth in the Prospectus.
Offering by the Purchasers. Each Purchaser acknowledges and agrees that the Purchased Notes have not been registered under the Securities Act and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons, except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act.
Offering by the Purchasers. The Company understands that the Purchasers intend to make a public offering of the Shares as soon after the effectiveness of this Agreement as in the judgment of the Purchasers is advisable, and initially to offer the Shares on the terms set forth in the Time of Sale Prospectus. The Company acknowledges and agrees that the Purchasers may offer and sell Shares to or through any affiliate of a Purchaser and that any such affiliate may offer and sell Shares purchased by it to or through any Purchaser.
Offering by the Purchasers. It is understood that each of the Purchasers proposes to privately place the Privately Offered Certificates with a limited number of institutional investors as set forth in the Private Placement Memorandum.
