No written information, including without limitation the Offering Memorandum, furnished by the City to the Bank prior to the Effective Date in connection with the Ordinance or this Agreement or any Related Documents contains any untrue statement of a material fact or omits to state a material fact necessary in order to make the statement made therein, in light of the circumstances in which they were made, not misleading in any material respect.
