Common use of Office of Foreign Asset Control Clause in Contracts

Office of Foreign Asset Control. Neither Issuer, Operating Lessee, nor Sponsor shall (a) be or become subject at any time to any law, regulation, or list of any government agency (including, without limitation, the OFAC List) that prohibits or limits any Note Trustee from making any advance or extension of credit to Issuer or from otherwise conducting business with Issuer, Operating Lessee and/or Sponsor, or (b) fail to provide documentary and other evidence of Issuer's identity as may be requested by any Note Trustee at any time to enable any Note Trustee to verify Issuer's identity or to comply with any applicable law or regulation, including, without limitation, Section 326 of the USA Patriot Act of 2001, 31 U.S.C. Section 0000 (xxx "Xxxxxxx Xxx"). In addition, Issuer hereby agrees to provide to Note Trustee with any additional information that Note Trustee deems reasonably necessary from time to time in order to ensure compliance with all Legal Requirements concerning money laundering and similar activities.

Neither Issuer, Operating Lessee, Borrower nor Sponsor Guarantor shall (a) be or become subject at any time to any law, regulation, or list of any government agency (including, without limitation, the OFAC List) that prohibits or limits any Note Trustee Lender from making any advance or extension of credit to Issuer Borrower or from otherwise conducting business with Issuer, Operating Lessee Borrower and/or SponsorGuarantor, or (b) fail to provide documentary and other evidence of IssuerBorrower's identity as may be requested by any Note Trustee the Administrative Agent at any time to enable any Note Trustee the Administrative Agent to verify IssuerBorrower's identity or to comply with any applicable law or regulation, including, without limitation, Section 326 of the USA Patriot Act of 2001, 31 U.S.C. Section ss. 0000 (xxx "Xxxxxxx Xxx"). In addition, Issuer Borrower hereby agrees to provide to Note Trustee Administrative Agent with any additional information that Note Trustee Administrative Agent deems reasonably necessary from time to time in order to ensure compliance with all Legal Requirements legal requirements concerning money laundering and similar activities.
