Common use of Officers' Certificate and Opinion of Counsel Clause in Contracts

Officers' Certificate and Opinion of Counsel. An Officers' Certificate and an Opinion of Counsel, each stating that (A) such Asset Sale covers only the Released Asset and complies with the terms and conditions of an Asset Sale pursuant to Section 4.16, (B) all Net Cash Proceeds from the sale of the Released Asset will be applied pursuant to Section 4.16, (C) there is no Default or Event of Default in effect or continuing on the date thereof, (D) the release of the Released Asset will not result in a Default or Event of Default and (E) all conditions precedent to such release have been complied with;

An Officers' Certificate and an Opinion of Counsel, each stating that (A) such Asset Sale covers only the Released Asset Interest and complies with the terms and conditions of an Asset Sale pursuant to Section 4.16, (B) all Net Cash Proceeds from the sale of the Released Asset Interest will be applied pursuant to Section 4.16, (C) there is no Default or Event of Default in effect or continuing on the date thereof, the Valuation Date or the date of such Asset Sale, (D) the release of the Released Asset will not result in a Default or Event of Default and (E) all conditions precedent to such release have been complied with;; (

An Officers' Certificate and an Opinion of Counsel, subject to customary qualifications, each stating that (A) such Asset Sale covers only the Released Asset and complies with the terms and conditions of an Asset Sale pursuant to Section 4.164.10(a), (B) all Net Cash Proceeds from the sale of the Released Asset will be applied pursuant to Section 4.164.10(b), (C) there is no Default or Event of Default in effect or continuing on the date thereof, (D) the release of the Released Asset will not result in a Default or an Event of Default and (E) all conditions precedent to such release have been complied with;

An Officers' Certificate and an Opinion of Counsel, each together stating that (A) such Asset Sale covers only all the Released Asset and Collateral sold and, if applicable, complies with the terms and conditions of an Asset Sale pursuant to Section 4.164.22, (B) all Net Cash Asset Sale Proceeds from the sale of all the Released Asset Collateral will be applied pursuant to Section 4.164.22, (C) there is no Default or Event of Default in effect or continuing on the date thereof, (D) the release of all of the Released Asset Collateral will not result in a Default or Event of Default and (E) all conditions precedent to such release have been complied with;; and
