Officer's Certificates as to Compliance, Documents, Etc. The Borrower shall have provided to the Agent a compliance certificate in form and substance reasonably satisfactory to the Agent, duly executed on behalf of the Borrower by its chief executive officer, principal financial officer or chief operating officer, certifying as to satisfaction by the Borrower of the conditions to lending set forth in this Section 3.01 and in Section 3.02, if and as applicable.

The Borrower shall have provided to the Agent a compliance certificate substantially in the form and substance reasonably of Part B of the form attached as Schedule 3.1 hereto or such other form as shall be satisfactory to the Agent, duly executed on behalf of the Borrower by its chief executive officer, principal financial officer or chief operating financial officer, certifying as to satisfaction by the Borrower of the conditions to lending set forth in this Section 3.01 and in Section 3.02, if and as applicable.

The Borrower shall have provided to the Agent a compliance certificate certificate, substantially in the form and substance reasonably of Schedule 3.02(d) hereto or such other form as shall be satisfactory to the Agent, duly executed on behalf of the Borrower by its chief executive officer, principal financial officer or chief operating financial officer, certifying as to satisfaction by the Borrower of the conditions to the consummation of such Acquisition as a Permitted Acquisition under Section 7.04 and the conditions to lending set forth in this Section 3.01 3.02 and in Section 3.02, if and as applicable3.03.

The Borrower shall have provided to the Administrative Agent a one or more compliance certificate and other closing certificates, in form and substance forms reasonably satisfactory to the Administrative Agent, duly executed on behalf of the Borrower by its chief executive officer, principal financial officer or chief operating financial officer, certifying as to satisfaction by the Borrower of the conditions to lending set forth in this Section 3.01 3.02 and in Section 3.023.03 and, if and specifically, as applicableto certain matters specified therein.
