Common use of Officer’s Closing Certificate Clause in Contracts

Officer’s Closing Certificate. Receipt by the Administrative Agent of a certificate, dated the Effective Date and signed by a Responsible Officer of the Borrower, certifying that after giving effect to the funding of any Revolving Loans on the Effective Date, the conditions specified in Sections 3.2(a) and 3.2(b) are satisfied as of the Effective Date.

Officer’s Closing Certificate. Receipt by the Administrative Agent of a certificate, dated as of the Effective Date and signed by a Responsible Officer of the Borrower, certifying that that, after giving effect to the funding of any Revolving Loans the Term Loan A on the Effective Date, the conditions specified in Sections 3.2(a) and 3.2(b) and Sections 3.1(f) and 3.1(o) are satisfied as of the Effective Date.

Receipt by the Administrative Agent of a certificate, dated the Effective Date and signed by a Responsible Officer of the Borrower, certifying that after giving effect to the funding of any Revolving Loans transactions contemplated hereby on the Effective Date, the conditions specified in Section 3.1(f) and Sections 3.2(a) and 3.2(b(b) are satisfied as of the Effective Date.

Receipt by the Administrative Agent of a certificate, dated the Effective Closing Date and signed by a Responsible Officer of the Borrower, certifying that after giving effect to the funding of the Term Loan A and any Revolving Loans on the Effective Closing Date, the conditions specified in Sections 3.2(a3.1(h), (i), (j), (k) and 3.2(b(l) are satisfied as of the Effective Closing Date.
