Common use of Officer’s Closing Certificate Clause in Contracts

Officer’s Closing Certificate. The Administrative Agent shall have received a certificate, dated the First Amendment Effective Date and signed by a Responsible Officer of the Borrower, certifying as to the accuracy of the representations and warranties set forth in Section 4(c) and (d) of this First Amendment.
