Offset Right upon Termination. Upon termination of Executive’s employment for any reason, the Company shall be entitled, upon delivery of proper documentation to Executive, to deduct from any amounts payable to Executive any sums due to the Company from Executive, and Executive hereby consents to such deductions, it being understood and agreed that nothing in this clause shall be construed to require Executive to return all or any portion of H▇▇▇▇▇ Employment Agreement any applicable severance payments, if any, to the Company if prior to the end of one year following Executive’s termination of employment, Executive has obtained employment with any other person, except to the extent such employment results in a breach of the Non-Competition provisions of this Agreement.
