Common use of Offsetting Claims Clause in Contracts

Offsetting Claims. With respect to any Claim for which BGM has an obligation to any SIEMENS Indemnitee pursuant to Section 9.1 and SIEMENS has an obligation to any BGM Indemnitee pursuant to Section 9.2, each Party shall offset the claims against the other.

Offsetting Claims. With respect to any Claim for which BGM has an obligation to any SIEMENS Xxxxxx Indemnitee pursuant to Section 9.1 and SIEMENS Xxxxxx has an obligation to any BGM Indemnitee pursuant to Section 9.2, each Party shall offset indemnify each of the claims against other Party’s Indemnitees for its Losses to the otherextent of its responsibility, relative to the other Party, for the facts underlying the Claim.
