Online Service. (a) You must ensure that access to the Online Service is restricted only to Designated Employees whom you see fit to have access and that such persons access the Online Service only via our web site as notified to you from time to time, using the assigned user id and password (“Security Information”). You must implement and exercise reasonable measures and controls to ensure that only such persons access the Online Service.
(b) You are responsible for obtaining and maintaining your own compatible computer system, software and communications lines required to properly access the Online Service. We have no responsibility or liability in respect of your software, equipment or communication line costs.
(c) If, at any time, whether before or after this Agreement comes into effect, American Express introduces or has introduced any third party software provider to the Company, the Company acknowledges and agrees that American Express makes no representation nor warranty expressly or impliedly as to the functionality or reliability of any software provided by that third party to the Company, nor as to the availability, quality or duration of software support or upgrades by the third party. Moreover, the Company acknowledges and agrees that American Express shall not be liable at all for the quality, merchantability or fitness for purpose of any software provided by a third party. The Company hereby agrees that its sole recourse for any damages suffered arising from the use of, or any aspect of the software, will be to the provider of the software.
(d) The Security Information is confidential to the respective Designated Employee. You must ensure that the Security Information is not shared with any other person or recorded in an insecure location accessible to anyone else. We are not responsible for any misuse of the Online Service by you, your Designated Employee or anyone else, nor for disclosure of confidential information by us where you have failed to maintain the security of the Security Information.
(e) We may terminate, withdraw, modify or suspend the use of the Online Service at any time. Except where security requires it or in circumstances beyond our control, or in the event of fraud or your breach of these terms of use for the Online Service, we will give you prior notice of our withdrawal or suspension of the Online Service in accordance with the “Changes to this Agreement” section of this Agreement.

Online Service if you think that someone else knows your security details, you must do the following: For your password, change it online as soon as possible. If you have difficulty changing your password, you must phone the Helpdesk number shown on the online service web site immediately. You can give the Helpdesk your username if you phone them to change your password. To change your additional security details, you will need to phone the Helpdesk immediately.
Online Service. 75.1 The Online Service will be provided via the internet, but can be expanded to include other modes of electronic communication.
75.2 Access to the Online Service is granted by use of a facility access code and a password or by such other security procedure the Lender may have in place from time to time.
75.3 Any Person who receives a facility access code from the Lender is responsible for the confidentiality of all passwords.
75.4 Any action or request made via the Online Service will be taken to have been made by the Borrower or the Security Owner (as the case may be), and the Lender may rely on that action or request.
75.5 The Facility Balance, Secured Portfolio, Market Value, any indicators of the status of the Margin Loan Facility, and any other information set out via the Online Service may not reflect recent transactions, represent the actual status of the Margin Loan Facility or represent a price at which the Secured Portfolio can be bought or sold.
75.6 The Lender is not obliged to update or correct any errors in the information after the date of publication and the Lender will not be responsible for any action which any Person with access to the Online Service takes or refrains from taking based on information in the Online Service which is inaccurate or out of date.
75.7 Specific terms of use are published on the Online Service. In additional to this Clause 75, any Person’s use of the Online Service is subject to those terms as amended from time to time.
75.8 The Lender may vary these terms of use at any time after giving a Notice to the Borrower and such Notice may be given through the Online Service.
75.9 The Lender may suspend access to the Online Service or cease to make the Online Service available at any time without notice.

CDC hereby draws the Holder’s attention to the risks involved in publishing personal information on the Site (phishing, etc.). CDC may not be held liable in the event of the use of the Holder’s personal information published on the Site by a third party.
Online Service. 6.1 The Supplier endeavors to provide 24 hour a day access to the Supplier Secure URL. However, the Supplier reserves the right to suspend the Supplier Secure URL operation, temporarily or permanently and without notice. The Supplier will not be liable for any losses or damages resulting either directly or indirectly from the Supplier Secure URL being unavailable at any time.
6.2 All orders on the Supplier Secure URL must be placed before 4:00 PM to qualify for next business day delivery of the Products. Supplier does not warrant or guarantee next day delivery of any order.
Online Service. You shall use the CFS online service only in accordance with this Agreement and any additional services offered through the Service in the future will only be used in accordance with this Agreement. You shall be the only authorized user of the Service under this Agreement. You shall be responsible for the confidentiality and use of your User ID, sign-on password, trading password, and PIN. You understand that you shall be solely responsible for all orders entered through the Service using your User ID, sign-on password, trading password, and PIN. You further understand and agree that, as a condition of using the Service to place orders and/or send information, you shall immediately notify CFS if: (a) an order has been placed through the Service and you have not received an order number; (b) an order has been placed through the Service and you have not received an accurate acknowledgment (whether through hard copy, electronic, or verbal means) of the order or of its execution; (c) you have received acknowledgment (whether through hard copy, electronic, or verbal means) of an execution for an order which you did not place or any similar conflict; or (d) you become aware of any unauthorized use of your User ID, sign-on password, trading password, or PIN. If you fail to notify CFS as soon as practicable when any of the above conditions occur, neither CFS nor any of its officers, employees, agents, affiliates or subsidiaries can or will have any responsibility or liability to you or to any other person whose claim may arise through you for any claims with respect to the handling, mishandling or loss of any order. You further agree that CFS and its affiliates will not be liable for any consequential, incidental, special, or indirect damage (including lost profits, trading losses and damages) that result from inconvenience, delay or loss of the use of the Service even if CFS has been advised of the possibility of such damages. You agree that CFS, Pershing and their affiliates will not be liable for any losses resulting from a cause over which CFS, Pershing or its affiliates does not have direct control, including but not limited to the failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems (e.g. if you are unable to access your online service provider), unauthorized access, theft, operator errors, severe weather, earthquakes, floods and strikes or other labor problems.
