Onsite Operational Audits Sample Clauses
Onsite Operational Audits. Permit the Agent to arrange for a third party selected by the Agent and reasonably acceptable to the Companies to conduct an onsite operational audit at the Borrower’s expense of the Borrower’s books and records pertaining to the Servicing Receivables on a quarterly basis upon five (5) Business Days’ prior notice and during normal business hours and in a manner that does not unreasonably interfere with the Borrower’s conduct of its business; provided that the Agent reserves the right to conduct interim audits at any time or to arrange for such audits at any other time the Agent reasonably deems necessary.
Onsite Operational Audits. Borrowers shall permit the Administrative Agent to arrange for a third party selected by the Administrative Agent to conduct an onsite operational audit of the Borrowers’ books and records pertaining to the Servicing Receivables and the Eligible Collateral twice per calendar year during normal business hours and in a manner that does not unreasonably interfere with the Borrowers’ conduct of their business; provided that the Administrative Agent reserves the right to conduct interim audits at any time or to arrange for such audits at any other time the Administrative Agent reasonably deems necessary.
