Common use of OP Form 10 Clause in Contracts

OP Form 10. Prior to the Closing, the Company shall use commercially reasonable efforts to, and shall cause the Company Subsidiary and their respective Representatives to, in each case at Purchaser’s sole expense, provide to Purchaser such cooperation reasonably requested by Purchaser that is reasonably necessary in connection with the preparation, review and filing of the OP Form 10 (provided that such requested cooperation is consistent with applicable Laws and does not unreasonably interfere with the operations of the Target Companies), including as promptly as reasonably practical, furnishing Purchaser with such pertinent information regarding the Target Companies as may be reasonably requested by Purchaser in connection with the preparation, review and filing of the OP Form 10.
