Open Window Discount. Distributor offers an on-invoice discount as indicated on the applicable Brand Exhibit(s) for scheduled delivery access (that could include Key Drop Deliveries) to all of the Participants’ Retail Outlets serviced by Distributor, excluding Black-Out Periods (“Open Window Discount”). Specific Retail Outlets may be excluded from the Open Window Discount, with the mutual consent of the Participants and Distributor, for reasons of safety or applicable local law.
