Common use of Operating Company information Clause in Contracts

Operating Company information. (a) The Borrower shall, promptly upon becoming aware of the same, notify the Agent if an Operating Company has ceased to be an Eligible Operating Company. (b) The Borrower shall, at the request of the Agent (acting on the instructions of a Lender or the Majority Lenders), promptly supply to the Agent a certificate signed by two directors of the Borrower: (i) confirming the aggregate PC EBITDA of the Guarantors as the most recent Quarter Date as a percentage of Adjusted Group EBITDA as at that Quarter Date; and (ii) stating which of the Operating Companies has: (A) PC Xxxxxxxx for the Relevant Period ended on the most recent Quarter Date of less than 5.0: 1; and (B) PC Interest Cover for the Relevant Period ended on the most recent Quarter Date of more than 1.5: 1. (c) The Agent may request a certificate under paragraph (b) above no more than once per Financial Quarter, unless an Event of Default is continuing.

(b) The Borrower Issuer shall, at the request of the Agent (acting on the instructions of a Lender Subscriber or the Majority LendersNote Subscribers), promptly supply to the Agent a certificate signed by two directors of the BorrowerIssuer: (i) confirming the aggregate PC EBITDA of the Guarantors as the most recent Quarter Date as a percentage of Adjusted Group EBITDA as at that Quarter Date; and (ii) stating which of the Operating Companies has: (A) PC Xxxxxxxx Lxxxxxxx for the Relevant Period ended on the most recent Quarter Date of less than 5.0: 1; and (B) PC Interest Cover for the Relevant Period ended on the most recent Quarter Date of more than 1.5: 1. (c) The Agent may request a certificate under paragraph (b) above no more than once per Financial Quarter, unless an Event of Default is continuing.
