Operating Partnership Agreement Amendment. The Company shall have delivered to the Underwriters a copy of the duly authorized and executed Operating Partnership Agreement Amendment.
Operating Partnership Agreement Amendment. An amendment (the “Operating Partnership Agreement Amendment”) to the Third Amended and Restated Agreement of Limited Partnership of the Operating Partnership, dated as of February 1, 2021 (as amended, the “Operating Partnership Agreement”), setting forth the designations, preferences and other rights and terms of the Preferred Units, will be, prior to the Closing Time, duly authorized, executed and delivered by the Company, as the sole general partner of the Operating Partnership.
Operating Partnership Agreement Amendment. The Company will duly authorize, execute and deliver the Operating Partnership Agreement Amendment prior to the Closing Time.
Operating Partnership Agreement Amendment. At the Closing Time, the Representatives shall have received a copy of the Operating Partnership Agreement Amendment duly authorized, executed and delivered by the Company.
Operating Partnership Agreement Amendment. The Second Amendment, dated as of March 22, 2019, to the Second Amended and Restated Agreement of Limited Partnership of the Operating Partnership, dated as of July 19, 2018 (as amended from time to time, the “Operating Partnership Agreement”), sets forth the designations, preferences and other rights and terms of the Preferred Units. An amendment to the Operating Partnership Agreement increasing the number of authorized Preferred Units (the “Operating Partnership Agreement Amendment”) will be, prior to any sale under this Agreement, duly authorized, executed and delivered. The Company, as the sole general partner of the Operating Partnership, will duly authorize, execute and deliver the Operating Partnership Agreement Amendment.
Operating Partnership Agreement Amendment. The general partner of the Operating Partnership shall have duly authorized, executed and delivered Amendment No. 9 to the Partnership Agreement.
Operating Partnership Agreement Amendment. The Third Amendment, dated as of December 6, 2019, to the Agreement of Limited Partnership of the Operating Partnership, dated as of February 14, 2013 (as amended, the “Operating Partnership Agreement”), sets forth the designations, preferences and other rights and terms of the Preferred Units. An amendment to the Operating Partnership Agreement increasing the number of authorized Preferred Units (the “Operating Partnership Agreement Amendment”) will be, prior to any sale under this Agreement, duly authorized, executed and delivered. The Company, as the sole general partner of the Operating Partnership, will duly authorize, execute and deliver the Operating Partnership Agreement Amendment.
Operating Partnership Agreement Amendment. An amendment to the Second Amended and Restated Agreement of Limited Partnership of the Operating Partnership, dated as of June 2, 2015, and as amended on February 28, 2017, September 11, 2017, December 15, 2017, March 23, 2018, and June 19, 2018, setting forth the terms of the Series B Preferred Units (the “Operating Partnership Agreement Amendment”) will be, prior to the Closing Time, duly authorized, executed and delivered. The Company, as the sole general partner of the Operating Partnership, will duly authorize, execute and deliver the Operating Partnership Agreement Amendment creating and classifying the Series B Preferred Units.
Operating Partnership Agreement Amendment. Each of (i) the second amendment, dated as of March 22, 2019, to the Second Amended and Restated Agreement of Limited Partnership of the Operating Partnership, dated as of July 19, 2018 (the “Operating Partnership Agreement”), setting forth the designations, preferences and other rights and terms of the Preferred Units and the (iii) third amendment, dated as of May 8, 2019, to the Operating Partnership Agreement, increasing the number of authorized Preferred Units to 3,380,000, has been duly authorized, executed and delivered by the Company. An amendment to the Operating Partnership Agreement increasing the number of authorized Preferred Units to 6,796,000 (the “Operating Partnership Agreement Amendment”) will be, prior to the Closing Time, duly authorized, executed and delivered by the Company, as the sole general partner of the Operating Partnership.
Operating Partnership Agreement Amendment. Chateau hereby agrees that, immediately prior to the Effective Time, it shall have duly executed and delivered the Operating Partnership Agreement Amendment.
