Operating Partnership Indemnitees. Subject to compliance with the procedures set forth in Section 10.3 below, the following shall set forth the defense, indemnity, and hold harmless obligations of Property Manager with respect to Operating Partnership and the members, partners, and shareholders of Operating Partnership, and the members, shareholders, officers, partners, property managers, and employees of Operating Partnership or of such members, partners, and shareholders (collectively, “Operating Partnership Indemnitees”).
