Operational Processes and Procedures. 5.1 The Service Provider shall develop and keep updated on an ongoing basis during the Term detailed operational processes and procedures documents which set out the working methods which shall be utilised by all Personnel providing the Services, including but not limited to the operational processes and procedures described in the Statement of Requirements (the “Operational Processes and Procedures”). 5.2 The Service Provider shall submit the Operational Processes and Procedures for approval in accordance with Part C of this schedule. Operational Processes and Procedures. The Service Provider maintains standard processes and procedures, business process flows, roles and responsibilities and communications structures to be used by the Service Provider and Client in the delivery of Services. Client agrees to comply with the Service Provider’s processes, procedures and policies as provided to Client in the Client Guide located on the iStratCLOUD portal, the Service Provider’s iStratCLOUD Information Security Controls Policy (“Security Policy”), and Acceptable Use Policy (“AUP). The Service Provider reserves the right to change its policies and procedures from time to time provided: 1) the changes apply to all similarly situated hosting clients, 2) do not materially degrade Client’s current level of Service, and 3) do not cause a material increase in Client’s costs of complying with the Service Provider’s processes, procedures and policies. For new releases of policies and procedures within the Client Guide and Information Security Controls Policy, the Service Provider will provide Client with a written update. The provisions of the Service Provider’s Security Policy will govern the process and procedures applicable to the information residing on systems, data storage devices or other digital media. If Client requires additional security services beyond those that form part of the Services, the Parties will mutually agree to them through the use of a Service Change Request.
