Operator’s Operations Manager. Operator shall at all times retain an operations manager (the “Operations Manager”) who shall be dedicated to the overall supervision and management of performance of Operator’s Facility Services obligations under this Agreement. Operator’s initial Operations Manager is set forth on Exhibit K. Operator may, from time to time, designate another individual as a proposed replacement for the Operations Manager by notice to Owner. Operator’s suggested replacement Operations Manager shall be subject to Owner’s approval, which may not be unreasonably withheld or delayed in all instances. Where feasible, Owner shall have the opportunity to meet the replacement Operations Manager in person or telephonically prior to assignment. Such meeting will take place telephonically except as otherwise agreed upon by the Parties. Nothing in this paragraph shall prevent Operator from assigning interim replacements on a temporary basis to enable it to continue to timely perform its obligations while assignment of a permanent replacement is pending. During the Term, Operator shall not assign the Operations Manager duties that are inconsistent or that conflict with the obligations of the Operations Manager in respect of his or her Facility Services duties.
