Operator’s Responsibilities. A.D.I.D Corporation is hereby designated as the Operator of the Xxxxx, Pipelines, Compressor stations and Leases and shall conduct and direct and have full control of all operations with regard to theses responsibilities as permitted and required by, and within the limits of this Agreement. In its performance of services hereunder for the Owner, Operator shall be an independent contractor not subject to the control or direction of the Owner except as to the type of operation to be undertaken in accordance with the terms of this Agreement. It is expressly understood and agreed that Operator may contract with third parties to conduct or provide any of the services described herein, provided any such third parties are approved by Owner, such approval not to be unreasonably withheld. Operator shall not be deemed, or hold itself out as, the agent of the Owner, with authority to bind Owner to any obligation or liability assumed or incurred by Operator as to any third party. Operator shall conduct its activities (including the procurement of third party goods and services) under this Agreement as a reasonable prudent operator, in a good and workmanlike manner, with due diligence and dispatch, in accordance with good oilfield practice, and in compliance with applicable law and regulation. The Owner hereby engages the Operator as an independent contractor to operate and maintain the Xxxxx, which shall include but not limited to the following responsibilities: a. Register as the operator of the Xxxxx with all relevant governmental agencies; b. Flow or pump the Xxxxx as required; c. Operate and maintain wellhead compressors, tank batteries, meters, pump jacks or other facilities associated with production of oil and/or gas. d. Operate and maintain all pipelines, compressor stations and flow lines associated with production of oil and/or gas. e. Change all meter charts on a monthly basis and arrange for the integration of same. Read meter if necessary. f. Perform all general maintenance and repairs on the xxxxx, pipelines, compressors stations and leases;
Operator’s Responsibilities. 6.1 Any person/Operator seeking to operate a XXXX within the City shall execute this Agreement. Operator acknowledges and agrees that this is a non-exclusive agreement and that City may enter into operating agreements with other operators of XXXX at its sole discretion. 6.2 The City reserves the right to amend, modify or change the terms and conditions within this Operating Agreement at its discretion. 6.3 Operator shall provide easily visible contact information, including a 24- hour toll free phone number and email address on each Shared Device for use by the public to report safety concerns, complaints, or to ask questions. 6.4 Operator shall provide City with the contact information of a locally-based manager/operations staff with decision making power who can respond to City requests, emergencies, and other issues 24 hours a day seven days a week. 6.5 From 6:00 a.m. to 6:00 p.m. on weekdays, not including legal holidays, Operator shall respond to public, Customer, or City requests for rebalancing, reports of incorrectly parked Shared Devices, or reports of unsafe/inoperable Shared Devices by relocating, re-parking, or removing Shared Devices completely within two hours of receiving written or oral notice. During all other times, Operator shall remove or re-locate Shared Devices within 12 hours of receiving notice. City representatives may relocate, re- park, or adjust incorrectly parked or unsafe/inoperable Shared Devices without providing notice to Operator. In the event a Shared Device is not relocated, re-parked, or removed within the timeframe specified herein, or any Shared Device is parked in one location for more than 72 hours without moving, such Shared device may be removed by City personnel and taken to a City facility for storage at the expense of the operator. Notwithstanding the foregoing, City reserves the right to impound Shared Devices that may impact the health, safety, or welfare of City residents or visitors or is placed or operated in a manner that violates the terms of this Agreement without notice to Operator and at the expense of the Operator. The City shall not be responsible for any damage to any Shared Devise impounded or taken into storage and City is under no obligation to safe-keep any Shared Device. Operator’s Responsibilities. 1. The Operator will do nothing to prejudice the goodwill or commercial interests of the Company or the Brand, or which would bring the name or reputation of the Company or the Brand into disrepute. 2. Unless otherwise agreed between the Company and the Operator, the Operator will not market or sell Tours under the Brand but shall package Tours as part of its own offering to Clients. If the Company and the Operator agree that Tours should be sold by the Operator under the Brand then: (i) the Operator shall ensure that unauthorised price reductions are not publicised or offered by the Operator without the Company’s specific permission;
Operator’s Responsibilities. The Operator shall be responsible for the Operation of the Facilities, and thus subject to the provisions of the Operating Agreement the Operator shall: 3.1.1 Prepare, file, execute and prosecute applications for the Authorizations required by the Company and make periodic filings required of the Company by Governmental Authorities having jurisdiction, including, without limitation, the preparation, filing, execution and prosecution of the FERC Application (and any amendments thereto) and the Company's FERC tariff (and any amendments thereto). 3.1.2 Provide or cause to be provided the day-to-day operating and maintenance services, administrative liaison and related services to the Company, including, but not limited to, customer support, rates (including rate cases), legal, accounting, electronic bulletin board, engineering, construction, repair, replacement, inspection, operational planning, budgeting, tax and technical services, and insurance and regulatory administration. 3.1.3 Prepare and/or cause to be prepared the engineering design and specifications for the Facilities. 3.1.4 Negotiate and execute contracts for the purchase of materials, equipment and supplies necessary for the Operation of the Facilities. 3.1.5 Prepare, negotiate and execute in the name of the Company rights-of-way, land in fee, permits and contracts, and initiate and prosecute eminent domain proceedings, necessary for construction, operation and maintenance of the Facilities, and resist the perfection of any involuntary liens against Company property. 3.1.6 Construct and install, or cause to be constructed and installed, the Facilities. 3.1.7 Maintain accurate and itemized accounting records for the Operation of the Facilities, together with any information reasonably required by the Company relating to such records, consistent with the applicable provisions of Section 12 of the Operating Agreement. 3.1.8 Prepare the financial reports set forth in Section 12 of the Operating Agreement. 3.1.9 Cause the Operation of the Facilities to be in accordance with the requirements of all Governmental Authorities having jurisdiction, including, but not limited to, the requirements of the United States Department of Transportation set forth in 49 CFR Parts 192, 193 and 199 and in accordance with sound and prudent natural gas pipeline industry practices, and provide or cause to be provided such appropriate supervisory, audit, administrative, technical and other services as may be required for t...
Operator’s Responsibilities. Operator is responsible for management of the Property in accordance with the standards of practice of professional managers of similar properties in the Monterey Peninsula area. Operator will provide other customary management services related to the ordinary business affairs of the Property consistent with the standards of management, operation, leasing, and maintenance of similar property in the area. Those services shall include but not be limited to the Scope of Services described in Exhibit "A.". Operator shall also establish and implement a mutually agreeable business plan and shall operate within the annual budget as approved by Owner. Operator acknowledges and shall continue, unless given new instructions, the commingling of staff, space for maintenance and administrative staff, and equipment and supplies for property management of the Preston Park (FORA-owned property) and Xxxxxx B (City of Marina-owned property) on a 60/40 basis.
Operator’s Responsibilities. 3.1 For each Quarter during the Term of this Agreement, New Dominion shall use its commercially reasonable best efforts to: (a) perform its obligations under the Participation Agreement so as to result in the Partnership’s Proportionate Share of Maintenance Capital Expenditures being equal to the Annual Maintenance Drilling Budget; (b) perform its obligations under the Participation Agreement so as to result in the Partnership’s Proportionate Share of Growth Capital Expenditures being equal to the Annual Growth Drilling Budget; (c) cause the xxxxx drilled pursuant to the Participation Agreement to be consistent with the Quarterly Maintenance Drilling Schedule; and (d) cause the xxxxx drilled pursuant to the Participation Agreement to be consistent with the Quarterly Growth Drilling Schedule. 3.2 In the event that New Dominion desires to (i) cause the Partnership’s Proportionate Share of Maintenance Capital Expenditures to be greater than or less than the Annual Maintenance Drilling Budget or Quarterly Maintenance Expenditure Target for any fiscal year or Quarter, respectively, (ii) cause the Partnership’s Proportionate Share of Growth Capital Expenditures to be greater than or less than the Annual Growth Drilling Budget or Quarterly Growth Expenditure Target for any fiscal year or Quarter, respectively, or (iii) make additions, deletions or substitutions to the Quarterly Maintenance Drilling Schedule or Quarterly Growth Drilling Schedule for any Quarter, New Dominion shall obtain approval from the General Partner, in writing, of such deviations from the Annual Maintenance Drilling Budget, Quarterly Maintenance Expenditure Target, Quarterly Maintenance Drilling Schedule, Annual Growth Drilling Budget, Quarterly Growth Expenditure Target or Quarterly Growth Drilling Schedule, as applicable.

Operator’s Responsibilities. 1. The Operator will do nothing to prejudice the goodwill or commercial interests of the Company or the Brand, or which would bring the name or reputation of the Company or the Brand into disrepute. 2. The Operator will ensure that its obligations under these Conditions shall be performed by competent persons with appropriate levels of qualification and experience and with reasonable diligence, skill and care; 3. Unless otherwise agreed between the Company and the Operator, the Operator will not market or sell Services under the Brand but shall package Services as part of its own offering to Clients. If the Company and the Operator agree that Services should be sold by the Operator under the Brand then: (i) the Operator shall ensure that unauthorised price reductions are not publicised or offered by the Operator without the Company’s specific permission; (ii) all sales literature and marketing materials (including websites) which display the Brand and/or the Company name shall portray the Company positively and shall be submitted to the Company for approval, at least 28 days prior to proposed publication (and the Company shall, in its discretion, be entitled to refuse consent to such publication and/or to make this conditional upon the incorporation of any changes suggested by the Company); and (iii) the Operator shall comply with all applicable laws and regulations, codes of practice and any requirements of any regulatory, governmental or quasi-governmental body or agency regarding the marketing and sale of Services to its Clients (including, without limitation, the 2018 Regulations) and shall compensate the Company for any losses arising as a result of the Operator’s failure to do so. 4. The Operator shall re-sell the Services to its customers as a principal as part of its own packages or otherwise as its own product and on its own terms and conditions of sale and this should be made clear to the Client. It is accepted by the Operator that in no circumstances shall the Company be a party to any contract with any of the Operator’s customers nor does the Operator act as an agent on behalf of the Company or on behalf of the third party Operators and should not hold itself out as acting as an agent in any circumstances. Accordingly, The Company does not have any liability to any customer by virtue of any consumer legislation, including but not limited to 2018 Regulations. 5. Operator’s Responsibilities. Subject to the prior budget authorizations of the Management Committee pursuant to §5.2 of this Agreement and the prior approval of the Management Committee with respect to those matters enumerated in Section 7.2.6 of the Partnership Agreement, Operator shall have the general responsibility for the day-to-day management of the design, construction, operation, maintenance, and administration of the Facilities as set forth herein. Notwithstanding the foregoing, all responsibilities not expressly delegated to Operator by this Agreement or by resolution of the Management Committee or which are not reasonably related to expressly delegated responsibilities shall be retained by the Partnership. In discharging its responsibilities hereunder, Operator shall; 3.1.1 Provide the day-to-day management, supervision, operating, marketing and maintenance services for the Facilities; identify market opportunities and services related to the Facilities and prepare and implement plans for the marketing of such services to shippers thereon, subject to the prior review and approval of such plans by the Partnership; prepare the design and construction plans for the Facilities and submit such plans to the Management Committee for its approval; act as administrative liaison and provide other related services for the Partnership, including, but not limited to, legal, accounting, engineering, environmental, construction, repair, replacement, operational planning, public relations, budgeting, technical services, insurance administration, tax services, and ail regulatory matters. 3.1.2 Prepare, file and prosecute applications for regulatory and governmental authority required by the Partnership, make periodic filings required of the Partnership by governmental or regulatory agencies having jurisdiction. 3.1.3 Prepare financing plans for the Partnership (but not for the individual Partners) and negotiate for Financing Commitments, if any, to be entered into by the Partnership for the construction of the Facilities; provided, however, that each Partner shall be entitled to be present and to participate in such negotiations. 3.1.4 Maintain accurate and itemized accounting records in accordance with Required Accounting Practice for pre-certification, design, planning, construction, operation and maintenance of the Facilities, together with any information reasonably required by the Partnership relating to such records. 3.1.5 Prepare proposed budgets and schedules for the review and appr...
