Operating Services. 14.1.1 AT&T-13STATE shall maintain for the Eligible Structure customary building services, utilities (excluding telephone facilities), including janitorial and elevator services, twenty-four (24) hours a day, seven (7) days a week. Any business telephone services ordered by the Collocator for its administrative use within its Dedicated Space will be provided in accordance with applicable AT&T- 13STATE tariffs.
Operating Services. Facilities Management and Real Estate - Perform planning, administration and operations related to managing Client Company properties, including leasing, renting company properties and permitting and purchase and sale of real property. Administer duplicating services, mailroom operations and print shops. Perform activities related to maintaining company properties, determining requirements and designing occupancy layouts. Fleet Management - Perform activities related to purchasing, leasing, and maintaining vehicles for Client Companies. Materials Management and Purchasing - Advise and assist Client Companies in the procurement of real and personal property, materials, supplies and services, conduct purchase negotiations, prepare procurement agreements and administer programs of material control, and provide warehousing and distribution services for Client Companies. Security - Provide activities to ensure a secure working environment, protect and safeguard company assets, safeguard and transport company receipts, and performance of investigations.
Operating Services. The services shall include the personnel, supplies, parts and materials necessary for the provision of comprehensive Operating Services. The Westlake Parties shall provide or cause to be provided the following Operating Services in connection with the operation and maintenance of the Ethylene Assets, all in accordance with, and subject to, the requirements of this Agreement, including the following services by the Westlake Parties:
Operating Services. CHARTER shall pay the following Service Fees:
6.1.1 Supervisorial Oversight in accordance with Education Code Section 47613 in the amount of 3% of the CHARTER’s previous fiscal year total general purpose and categorical revenue. This shall be paid to District by October 1st for the previous fiscal year.
6.1.2 Contract for Special Education services, provided by TTUSD to SELS. Contract to remain in effect for the life of SELS charter, or until dissolved by mutual agreement between SELS and TTUSD.
1. For Special Education purposes, SELS will operate as a school of the district.
2. TTUSD will retain all of SELS' SELPA funding provided by PCOE.
3. Special Education Encroachment. This amount is determined by considering the special education costs (Resources 3310, 3315, 3320, 3410, 6500, 6520) of the District for the prior fiscal year that are not paid for by state and federal special education funds (“encroachment”). The encroachment is divided by the Average Daily Attendance of the District at P-2 (“ADA”) for the prior fiscal year (including Charter School students) and then multiplying the results by the ADA of the SELS during the current fiscal year (“SELs Special Ed Encroachment”). Since SELS is funded differently than other TTUSD schools, and since this amount of funding has historically been less, the encroachment fee will be determined by 1) Calculating the proportion of unrestricted funding per ADA between SELS and TTUSD (“Funding Ratio”) from the prior year; and then 2) applying this Funding Ratio to the SELs Special Ed Encroachment Fee; thus, 3) SELS will pay TTUSD a prorated Special Ed fee equivalent to the total SELS Special Education Encroachment multiplied by the Funding Ratio (e.g., if TTUSD per ADA encroachment is $1000/ADA, and SELS is funded at a ratio of .70 when compared to TTUSD, then SELS would only pay only an encroachment of $700/ADA). The revenues (i.e., funding) to be used in the calculation of the Funding Ratio are as follows:
A) TTUSD Unrestricted LCFF Revenues: This funding will consist of unrestricted revenues classified as LCFF Sources including reductions from transfers to the deferred maintenance fund and all in-lieu property tax payments to charter schools. TTUSD shall deduct from the unrestricted LCFF revenue totals, all contributions made to the following programs: Regular and Special Education Home to School Transportation, State Preschool, Food Service, and Special Education.

Operating Services. The Fund hereby retains Manager to provide, or, upon receipt of written approval of the Fund arrange for other companies to provide, the following services to the Portfolio in the manner and to the extent that such services are reasonably necessary for the operation of the Portfolio (collectively, the “Operating Services” and together with Investment Advisory Services, the “Services”):
(1) accounting services and functions, including costs and expenses of any independent public accountants;
(2) non-litigation related legal and compliance services, including the expenses of maintaining registration and qualification of the Fund and the Portfolio under federal, state and any other applicable laws and regulations;
(3) dividend disbursing agent, dividend reinvestment agent, transfer agent, and registrar services and functions (including answering inquiries related to shareholder Portfolio accounts);
(4) custodian and depository services and functions;
(5) distribution, marketing, and/or underwriting services;
(6) independent pricing services;
(7) preparation of reports describing the operations of the Portfolio, including the costs of providing such reports to broker-dealers, financial institutions and other organizations which render services and assistance in connection with the distribution of shares of the Portfolio;
(8) sub-accounting and recordkeeping services and functions (other than those books and records required to be maintained by Manager under Paragraph 1(A) above, including maintenance of shareholder records and shareholder information concerning the status of their Portfolio accounts by investment advisors, broker-dealers, financial institutions, and other organizations on behalf of Manager;
(9) shareholder and board of directors communication services, including the costs of preparing, printing and distributing notices of shareholders’ meetings, proxy statements, prospectuses, statements of additional information, Portfolio reports, and other communications to the Fund’s Portfolio shareholders, as well as all expenses of shareholders’ and board of directors’ meetings, including the compensation and reimbursable expenses of the directors of the Fund;

Operating Services. Upon the Customer Effective Date, Fulcrum shall operate Texoga’s generating Facility by remote control and dispatch electricity in accord with the schedules submitted to ERCOT by Fulcrum as QSE.
Operating Services. Day-to-day routine and emergency supervision of the operation of the Partnership Assets in accordance with the directions provided by the General Partner and in a manner to maximize revenues, optimize asset useful life, minimize asset downtime and service disruption, and optimize the use of fuels, utilities and consumables. Hess shall employ such of its own or outside personnel as may be necessary to perform this supervision, that possess the qualifications, experience and / or training consistent with the qualifications and experience which are typical for personnel supervising the operation of such facilities and in accordance with the rules and regulations of Hess and any applicable Governmental Authority and Applicable Law.
Operating Services. “Operating Services” include, but are not limited to, the reasonable charges incurred by Lessor for: Building operation salaries, benefits, reasonable management fee (not to exceed 5% of gross income for the Building), insurance, electricity, janitorial, supplies, telephone, HVAC, repair and maintenance, window washing, water and sewer, security, landscaping, disposal, elevator, and any other service or supplies reasonably necessary to the use and operation of the premises. Operating Services shall also include the amortization cost of capital investment items and of the installation thereof, which are primarily for the purpose of safety, saving energy or reducing operating costs, or which may be required by governmental authority (all such costs shall be amortized over the reasonable life of the capital investment item, with the reasonable life and amortization schedule being determined in accordance with generally accepted accounting principles). Notwithstanding anything to the contrary contained herein, Operating Services shall not include any of the following:
Operating Services. 504HealthNet will utilize funds to provide training materials (copies of agendas, resources, training booklets) to participants involved in the Community of Practice and trainings/meetings for hospitality workers.
Operating Services. 8.1 Operation of the eCommerce Platform During the term of this Agreement, Demandware will provide the operating services to xxxxxxxxxx.xx and its Affiliates as described in Exhibit D in compliance with the Service Levels.
8.2 Service Desk As more fully set forth in Exhibit B, Demandware will provide a central service desk (“Service Desk”) to xxxxxxxxxx.xx as a single point of contact for authorized and designated Users (“Designated Users”) pursuant to Exhibit B. Incidents and other queries shall be reported to the Service Desk (“Call”). Where this Agreement refers to the receipt of a Call, the receipt of the Call by the Service Desk shall be relevant.
8.3 Incident Management Demandware will be responsible for Incident resolution in accordance with Exhibit B and the Service Levels.
8.4 Problem Management Demandware will provide problem management in accordance with Exhibit B
