Common use of Operatorship Clause in Contracts

Operatorship. Within five Business Days after Closing, Seller will send out notifications of its resignation as operator for all ▇▇▇▇▇ Seller currently operates and is selling to Buyer pursuant to this Agreement. Seller makes no representation and/or warranty to Buyer as to the transferability or assignability of operatorship of such ▇▇▇▇▇. Buyer acknowledges that the rights and obligations associated with such ▇▇▇▇▇ are governed by applicable agreements and that operatorship will be determined by the terms of those agreements. Seller shall use commercially reasonable efforts to assist Buyer in assuming operatorship under all applicable joint operating agreements.

Seller makes no representation and/or warranty to Buyer as to the transferability or assignability of operatorship of such ▇▇▇▇▇, but Seller shall cooperate with Buyer and use its commercially reasonable efforts to cause operatorship of the Assets to be transferred to Buyer. Buyer acknowledges that the rights and obligations associated with such ▇▇▇▇▇ are governed by applicable agreements and that operatorship will be determined by the terms of those agreements. Seller shall use commercially reasonable efforts to assist Buyer in assuming operatorship under all applicable joint operating agreements.
