Opinion and 10b-5 Statement of Counsel for the Company and the Adviser. Eversheds Sxxxxxxxxx (US) LLP, counsel for the Company and the Adviser, shall have furnished to the Representative, at the request of the Company and the Adviser, their written opinions and 10b-5 letter, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representative.
