Opinion and Negative Assurance Letter of Counsel for Company. The Representative shall have received from Xxxxxx Xxxxxxx Xxxxxx & Brand, LLP, counsel to the Company and Guarantor, such counsel’s written opinion, addressed to the Underwriters and dated as of the Closing Date, in form and substance reasonably satisfactory to the Representative and its counsel. Such counsel to the Company and Guarantor shall also have furnished to the Representative a written statement (“Negative Assurances”), addressed to the Underwriters and dated the Closing Date, in form and substance reasonably satisfactory to the Representative and its counsel.
