Common use of Opinion of Canadian Counsel for the Underwriters Clause in Contracts

Opinion of Canadian Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date the Representative shall have received the opinion of XxXxxxxx Xxxxxxxx LLP, Canadian counsel for the Underwriters, in form and substance satisfactory to the Underwriters, dated as of such Closing Date.

On each of the First Closing Date and each Option Closing Date Date, the Representative Underwriters shall have received the an opinion of XxXxxxxx Xxxxxxxx Stikeman Elliott LLP, Canadian counsel for the Underwriters, in form and substance satisfactory addressed to the Underwriters, and dated as of such the First Closing Date and each Option Closing Date, as the case may be.
