Common use of Opinion of Canadian Counsel Clause in Contracts

Opinion of Canadian Counsel. At each Representation Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party to the Terms Agreement) a written opinion of special internal Canadian counsel for the Partnership (“Canadian Counsel”), dated as of the Representation Date, in form and substance satisfactory to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party to the Terms Agreement), of the same tenor as the opinion referred to in Section 6(e) hereof, but modified as necessary to relate to the Registration Statement and the Prospectus, in each case as amended and supplemented to the time of delivery of such opinion.

Opinion of Canadian Counsel. At each Representation Date, the Partnership Company shall furnish or cause to be furnished forthwith to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party and to counsel to the Terms Agreement) Manager a written opinion of Xxxxxxx Xxxxx LLP, special internal Canadian counsel for the Partnership Company (“Canadian Counsel”), dated and delivered the date of commencement or recommencement, effectiveness of such amendment, the date of filing with the Commission of such supplement or other document, the Time of Delivery, or promptly upon such request, as of the Representation Datecase may be, in form and substance reasonably satisfactory to the Managers (or, in the case of a Representation Date of the type described in Section 4(l)(iii), the relevant Manager party to the Terms Agreement)Manager, of the same tenor as the opinion opinions referred to in Section 6(e6(d) hereofof this Agreement, but modified as necessary to relate to the Registration Statement and the Prospectus, in each case Prospectus as amended and supplemented to the time of delivery of such opinion.
