Opinion of Counsel as Alternative. The registration rights granted to the holders of Warrants and Warrant Shares under this paragraph 7 shall be subject to the condition that any registration of Warrants and Warrant Shares proposed to be effected need not be effected if the Company shall deliver to the holders requesting such registration an opinion satisfactory to such holders and their counsel to the effect that the proposed disposition for which registration was requested does not require registration under the Securities Act.
